Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Lab Class Tools, a suite of software plugins for DaVinci Resolve, and related websites, downloads, and services (together, the “Service”) operated by Lab Class (“we”, “us”, “our”).

By purchasing a subscription, downloading, installing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Who we are

2. Merchant of Record (payments)

Subscriptions and payments for Lab Class Tools are processed by Paddle.com Market Limited and/or its affiliates (“Paddle”) as Merchant of Record.

That means:

• Paddle is the seller of record for the purchase. • Paddle handles checkout, invoices, sales tax/VAT where applicable, and payment processing. • Your payment relationship for the purchase is with Paddle, subject to Paddle’s terms (https://www.paddle.com/legal/terms) and policies.

We provide the software license and product delivery (license key, downloads, and support for the product).

3. The product

Lab Class Tools is a collection of digital software plugins (OFX) for use with DaVinci Resolve on supported Windows and macOS systems, plus documentation and installers we make available to subscribers.

We may add, change, or retire features or individual plugins over time as we improve the suite. Material changes will be communicated where reasonable.

DaVinci Resolve and related trademarks are the property of Blackmagic Design. We are not affiliated with or endorsed by Blackmagic Design unless stated otherwise.

4. Eligibility

You must be able to form a binding contract and, if you are under the age of majority in your place of residence, have permission from a parent or guardian. You must provide accurate account and contact information (including email) for license delivery.

5. Subscriptions and licence

5.1 Subscription

Access to Lab Class Tools is sold as a recurring subscription (for example monthly), as shown at checkout. The price, currency, and billing period are displayed before you pay.

5.2 Licence grant

While your subscription is active (including any allowed past-due grace period we choose to honour), we grant you a limited, non-exclusive, non-transferable, revocable licence to install and use Lab Class Tools on devices you own or control, for your own professional or personal creative work, subject to these Terms and any seat/machine limits we publish.

5.3 Licence key

After purchase we issue a licence key and download links (typically by email). You must keep your key confidential. You may not share, sell, rent, or publish your key. We may revoke or disable a key if we reasonably believe it has been abused or shared in breach of these Terms.

5.4 Restrictions

You may not:

• reverse engineer, decompile, or attempt to extract source code except where applicable law allows; • remove proprietary notices; • redistribute, resell, or sublicense the plugins or installers except as we expressly allow; • use the Service to develop a competing product by improper means; • circumvent licence checks or payment systems.

5.5 Cancellation and end of access

You may cancel your subscription through the means provided at purchase (including Paddle’s customer tools where available). When a subscription ends or is cancelled and the paid period expires, your licence ends and we may disable the licence key and downloads. You should export or finish projects before access ends.

5.6 Renewals

Subscriptions renew automatically at the end of each billing period unless cancelled, until you or we cancel in accordance with these Terms and Paddle’s processes.

6. System requirements and third-party software

You are responsible for having a compatible version of DaVinci Resolve, a suitable computer, and OS updates. We do not guarantee compatibility with every Resolve version, GPU, or host configuration. We may publish supported platforms on our site or documentation.

7. Delivery

Delivery is digital only: licence key and download links for installers. No physical shipment. Delivery is typically automated after successful payment; contact licenses@labclasstools.com if you do not receive your email.

8. Acceptable use

You must not misuse the website or Service (including attempts to disrupt security, scrape without permission, or use the Service for illegal content or activity).

9. Intellectual property

Lab Class Tools, branding, documentation, and related materials are owned by us or our licensors. Except for the licence in section 5, no rights are granted. Feedback you provide may be used by us to improve the product without obligation to you.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, EXCEPT WHERE THEY CANNOT BE EXCLUDED.

We do not warrant uninterrupted or error-free operation, or that the plugins will meet every creative or production requirement.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY ARISING FROM THE SERVICE.

OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID FOR THE SUBSCRIPTION IN THE 12 MONTHS BEFORE THE CLAIM (OR, IF LESS, THE MINIMUM LIABILITY THAT APPLICABLE LAW ALLOWS US TO CAP).

Nothing in these Terms excludes liability that cannot be excluded under applicable law (including certain consumer rights, death or personal injury caused by negligence, or fraud).

12. Consumer rights

If you are a consumer in the UK/EU/EEA or another jurisdiction with mandatory consumer protections, those rights apply in addition to these Terms. Digital content rules and cooling-off rights may be limited once download or access begins, as allowed by law and as described in our Refund Policy.

13. Changes

We may update these Terms by posting a new version on this page and updating the “Last updated” date. Continued use after changes constitutes acceptance, except where local law requires otherwise. For material changes we will try to give reasonable notice.

14. Governing law

These Terms are governed by the laws of England and Wales, and courts of England and Wales have jurisdiction, except that consumers may benefit from mandatory protections of their country of residence.
